Terms of Service

1. Acceptance of Terms

By accessing or using the DontMissIt.AI website and services (collectively, the "Service") operated by DontMissIt.AI ("Company," "we," "us," or "our"), you acknowledge that you have read, understood and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

2. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent that you meet this age requirement and are otherwise legally able to enter into a binding contract in your jurisdiction.

3. Description of Service

DontMissIt.AI provides a notification service that alerts users about upcoming movie and television show releases via SMS, email and other methods. Free accounts may create up to five (5) active alerts at any given time. Paid subscription accounts may create more than five alerts and access additional features as described below. We obtain release data from third‑party sources and may adjust our features at any time.

4. User Accounts and Registration

Account Creation: To use the Service, you must create an account by providing accurate and complete information, including your name, email address and timezone. You may also provide your phone number if you wish to receive SMS alerts.

Account Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use or breach of security.

Account Restrictions: You may not share your account or login credentials with others. You may have only one account per individual.

5. Subscription Plans and Payment

Free Tier: Users who do not have an active paid subscription are limited to a maximum of five (5) active alerts at any given time. This limit is strictly enforced. Free users may not create, maintain, or otherwise hold more than five active alerts. If you do not subscribe to a paid plan, you expressly agree to abide by this five-alert limit.

Paid Subscription: For users who wish to create more than five alerts or access premium features, we offer a paid subscription at USD $19 per year (plus applicable taxes). Paid accounts may create unlimited alerts. The ability to maintain more than five alerts is a paid-only feature and is contingent upon maintaining an active paid subscription.

Automatic Renewal: Paid subscriptions automatically renew for successive one‑year periods unless canceled before the end of the current term. We will send a reminder before renewal. You authorize us (and our third‑party payment processor) to charge your payment method on each renewal date.

Cancellation Requirements and No Refunds: You may cancel your subscription at any time via your account settings, provided that you have first reduced your active alerts to five (5) or fewer. You may not cancel a paid subscription while holding more than five active alerts. To cancel, you must first go to your My Alerts page and delete alerts until you have no more than five remaining. Once your alert count is at or below five, the cancellation option will become available. Cancellation will take effect at the end of the current billing period, and you will continue to have access to paid features until that period expires. Upon expiration, your account will revert to the free tier and the five-alert limit will apply. No refunds will be issued for any reason, including partial billing periods. Cancelling your subscription simply stops future automatic billing — it does not entitle you to a refund of any amounts already paid.

Payment Processing: Payments are processed by our third‑party payment processor. You agree to comply with the processor's terms and any local tax obligations.

Changes to Fees: We reserve the right to change subscription fees or introduce new charges with reasonable notice. Continued use after changes take effect constitutes acceptance of the new fees.

6. Alert Limits and Account Downgrade

Five-Alert Maximum for Free Users: Users without an active paid subscription are strictly limited to five (5) active alerts. This limit applies to all users who have not purchased a subscription, as well as to users whose paid subscription has expired, been canceled, or otherwise terminated. Under no circumstances may a free-tier user maintain more than five active alerts.

Cancellation Prerequisite: In order to cancel a paid subscription, you must first reduce your active alerts to five (5) or fewer by removing alerts from your My Alerts page. The cancellation process will not proceed until your alert count is within the free-tier limit. This requirement exists to ensure a smooth transition to the free tier and to prevent users from circumventing the alert limit.

Post-Cancellation Enforcement: After your paid subscription expires following cancellation, your account will automatically revert to the free tier. You acknowledge and agree that the five-alert limit will be enforced, and you will not be able to create new alerts if you are already at the five-alert maximum. Any alerts beyond five that remain after downgrade may be suspended or removed at our discretion.

No Exceptions: The five-alert limit for free-tier users is a core term of this agreement. There are no exceptions, grace periods, or grandfathering of alerts beyond this limit for non-paying users.

7. SMS and Email Communications

By providing your phone number or email address, you consent to receive Service‑related communications (alerts, administrative notices, marketing, etc.). Standard message and data rates may apply for SMS. You may opt out of marketing communications at any time via account settings or by using the unsubscribe link provided.

8. User Conduct and Prohibited Activities

You agree that you will not:

  • Use the Service for any unlawful, harmful, fraudulent or disruptive purpose.
  • Attempt to gain unauthorized access to the Service or its related systems.
  • Interfere with or disrupt the Service, servers or networks connected to the Service.
  • Use automated scripts, bots or data‑scraping tools without our prior written consent.
  • Resell, sublicense or otherwise exploit the Service for any commercial purpose beyond your subscription.

9. Intellectual Property and License

Our Rights: All content on the Service— including text, software, graphics, logos and trademarks— is owned by us or our licensors and is protected by copyright and other intellectual property laws. Ideas and concepts underlying the Service (e.g., alerting users about media releases) are not protected by copyright, but the expression, layout and code are.

User License: Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to access and use the Service solely for personal, non‑commercial purposes. You may not reproduce, distribute, modify, create derivative works of or publicly display any portion of the Service without our prior written consent.

Feedback: If you submit feedback or suggestions, you grant us a perpetual, worldwide license to use such feedback without compensation.

10. Privacy and Data Use

Our collection, use and sharing of your personal data is governed by our Privacy Policy, which is incorporated by reference. You must review and accept the Privacy Policy. If you do not agree with the Privacy Policy, do not use the Service.

11. Modifications to the Service and Terms

We may modify or discontinue the Service (or any part of it) at any time without liability to you. We may modify these Terms at any time. We will provide advance notice of material changes through the Service or via email. Your continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.

12. Warranty Disclaimer

The Service is provided "as is" and "as available," without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted or error‑free, nor do we guarantee the accuracy of release dates or other information provided.

13. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for claims arising out of or relating to the Service is limited to the amount you paid to us in the twelve months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold us, our affiliates and our respective officers, employees and agents harmless from any claims, losses, damages or expenses (including attorneys' fees) arising from your misuse of the Service or violation of these Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which the Company is based (to be specified). All disputes arising under these Terms will be resolved through binding arbitration administered by a recognized arbitration organization, rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class‑action lawsuit or class‑wide arbitration.

16. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and the Company regarding the Service and supersede any prior agreements.

Severability: If any provision of these Terms is deemed unenforceable, it shall be modified to the extent necessary to make it enforceable, and the remaining provisions will remain in force.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
